WHEREAS We, the several persons whose names, addresses, and occupations hereinafter subscribed, recognize the need to establish in Nova Scotia, an organization for the preservation and promotion of the socio-economic, cultural and political interests of all Nigerians by birth or descent, living in Nova Scotia as more specifically set out herein; and
WHEREAS Hitherto, the Nigerian peoples in Nova Scotia have not had a formal mechanism and forum for interaction, deliberation, and propagation of matters of mutual interest and concern; and
WHEREAS FURTHER We, in pursuance of this memorandum, are desirous of being formed into such a Society to provide the required forum and mechanism which Society shall be a charitable, non-profit organization;
NOW THEREFORE, WITNESSETH AS FOLLOWS:
1.00 - Name
1.01
"Association of Nigerians in Nova Scotia"
2.00 - Objectives
2.01
The objectives of the Society shall be:
(a) To promote the socio-economic, cultural, and political
interaction of the members;
(b) To act as spokesperson for the membership on all matters
relevant to Nigeria and Nigerians, from time to time,
living in Nova Scotia;
(c) To promote the participation by Nigerians living in Nova
Scotia, in the economic life and activities of this
Province and Country;
(d) To promote awareness of the part of Canadians,
of the social economic, cultural and political issues
relevant to Nigeria;
(e) To act as a source of material and information on Nigeria
and Nigerian issues and affairs;
(f) To provide forum for learning about Nigeria and Nigerian
affairs;
(g) To encourage, promote and support research, writing and
publication endeavour relating to Nigeria and Nigerian
affairs;
(h) To forge links with Societies or organizations having
similar or related objectives;
(i) To acquire by way of grant, gift, purchase, bequest,
devise, or otherwise, real and personal property and to
use and apply such property to the realization of the
objects of the Society;
(j) To buy, own, hold, lease, mortgage, sell and convey such
real and personal property as may be necessary or
desirable in the carrying out of the objects of the
Society;
(k) To maintain link with Nigerian High Commission in
Ottawa and consult regularly on relevant issues with
the High Commission.
2.02
To do all such acts and things as are incidental or conclusive to or consequential upon the attainment of the objectives outlined above, or the exercise of the powers conferred upon the Society by law.
PROVIDED that nothing herein contained shall permit the Society to carry on any trade, industry or business, and the Society shall be carried on without purpose of gain to any of the members and that any surplus or any accretions of the Society shall be used solely for the purposes of the Society and the promotion of its objectives.
PROVIDES FURTHER, that if for any reason the operations of the Society are terminated or are wound up, or are dissolved and there remains at that time, after satisfaction of all its debts and liabilities, any property whatsoever, the same shall be paid to another charitable organization in Canada, having objectives similar to those of the Society.
3.00 - Scope Of Operation.
3.01
The activities of the Society are to be carried on within the Province of Nova Scotia or within such geographical limits as the members of the Executive Committee may from time to time delimit.
4.00 - Registered Office.
4.01
The registered office of the Society shall be at 54 Merrimac Drive in the county of Dartmouth and Province of Nova Scotia or at such other places as the members of the Executive Committee may from time to time designate.

We, the undersigned, the subscribers to the Memorandum of the Association of Nigerians in Nova Scotia, do hereby agree upon the attached By-Laws as the By-Laws for the administration of the Society.
